1. AGREEMENT PREAMBLE

This Letter of Intent for Cast Participation Agreement, (“Agreement”) is entered into by and between Peoria Pulse Films LLC (“Company” or “Producer”) and the undersigned participant (“Participant”).

The Company is engaged in the development, production, and distribution of the documentary series currently entitled Peoria, IL – America’s Pulse (the “Production”), which highlights the voices, stories, and lived experiences of community leaders, business owners, cultural contributors, and residents of Peoria, Illinois.

Participation is voluntary and reflects an opportunity to contribute to a community-driven documentary project intended to preserve, document, and amplify authentic local narratives.

Participant acknowledges and agrees that:

• Participation does not guarantee interview, inclusion, or use in the final Production
• The Company retains full and exclusive creative, editorial, and distribution control
• The Production may be modified, edited, or not released in any form at the Company’s sole discretion
• Participation does not constitute employment, partnership, sponsorship, endorsement, or compensation of any kind
• No unpaid or implied brand placements are granted or authorized under this Agreement

2. RELEASE AND USE OF LIKENESS

Participant irrevocably grants the Company the perpetual, worldwide, royalty-free right to record, film, photograph, and use Participant’s name, image, likeness, voice, statements, and biographical information in any media now known or later developed.

The Company may edit, modify, reproduce, distribute, broadcast, or otherwise exploit such materials in connection with the Production or related promotional efforts without further approval or compensation.

Participant waives any right to inspect, approve, or control final content and releases the Company from any claims including but not limited to defamation, invasion of privacy, right of publicity, or misrepresentation.

All footage and materials shall be the exclusive property of the Company.

3. CONFIDENTIALITY AND NON-DISCLOSURE (NDA)

Participant agrees to maintain strict confidentiality regarding all non-public information related to the Production, including but not limited to:

• Storylines, footage, interviews, and production content
• Business operations, partnerships, sponsorships, and strategies
• Internal communications or unreleased materials

Participant shall not disclose, share, record, or distribute any confidential or behind-the-scenes information without prior written consent from the Company.

This obligation survives indefinitely.

4. NON-DISPARAGEMENT

Participant agrees not to make or publish any false, misleading, or disparaging statements regarding the Company, Production, or any affiliated individuals or entities.

This includes statements made publicly or privately, including social media, that could reasonably harm reputation, goodwill, or business interests.

Nothing herein restricts lawful required testimony or legally compelled disclosure.

5. NON-COMPETITION

Participant agrees that for a period of twenty-four (24) months following participation, they will not directly produce, assist in, or consult on any documentary or media project that is substantially similar in concept or scope to Peoria, IL – America’s Pulse within the Peoria, Illinois market, where such involvement would reasonably compete with the Production.

This clause does not restrict Participant’s general professional or community activities outside of competing productions.

6. INDEMNIFICATION

Participant agrees to indemnify, defend, and hold harmless the Company and its affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of:

• Breach of this Agreement
• Misrepresentation by Participant
• Unauthorized materials or third-party rights violations
• Participant’s conduct during involvement in the Production

This obligation survives termination of this Agreement.

7. PRODUCTION TIMELINE AND COMMUNICATION NOTICE

Participant acknowledges that the Production is ongoing and that no fixed production schedule, filming timeline, or release date is guaranteed or represented.

The Company is under no obligation to contact, feature, or schedule Participant. Selection for participation is not guaranteed.

If Participant is selected, the Company may contact Participant via the contact information provided. All communications are discretionary and do not constitute confirmation of inclusion unless expressly stated in writing.

8. GOVERNING LAW AND VENUE

This Agreement shall be governed by the laws of the State of Florida and/or the State of Illinois, at the sole discretion of the Company.

Any disputes arising under this Agreement shall be brought exclusively in the state or federal courts located in Florida or Illinois, as selected by the Company, and Participant consents to jurisdiction and venue therein.

Participant waives any objection to venue, including forum non conveniens.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.

Participant acknowledges they have read, understood, and voluntarily agreed to all terms herein and had the opportunity to seek independent legal counsel.

10. EXECUTION

IN WITNESS WHEREOF, the parties hereto have executed this Agreement knowingly and voluntarily as of the date signed below, intending to be legally bound by all terms contained herein.
