Before publishing this on the live site, have counsel confirm: (1) the precise corporate relationship and registered names of Ozone Gold Media, Ozone Gold Publishing LLC, and Ozone Talent Booking Agency; (2) whether Florida's telemarketing/CAN-SPAM obligations or any state-specific talent-agency licensing rules (Florida does not currently license talent agents the way California and New York do, but this should be confirmed) apply to your booking activity; and (3) the exact nature of any referral, commission, or ownership relationship with HeritageBridge Financial Solutions, since that relationship affects required financial-services disclosures.
1. Acceptance of These Terms
These Terms and Conditions ("Terms") govern your access to and use of the website located at www.ozonegoldmedia.com (the "Site") and all services offered through it, including artist and band registration, talent booking for promoters and venues, brand and product placement services, film packaging and production advisory services, and the Ozone Gold Media newsletter (collectively, the "Services"). The Services are offered by Ozone Gold Media and its affiliated operating entities, including Ozone Gold Publishing LLC and Ozone Talent Booking Agency (collectively, "Ozone Gold Media," "we," "us," or "our").
By accessing the Site, submitting a registration form, submitting a booking or project intake request, or otherwise using the Services, you ("you," "Client," "User," "Artist," "Promoter," "Brand," or "Producer," as applicable) agree to be bound by these Terms. If you do not agree, do not use the Site or the Services. If you use the Services on behalf of a company, band, label, venue, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Our Companies & Scope of Services
Ozone Gold Media operates as a family of related but distinct service lines. Each is described below so that clients understand precisely who they are contracting with for a given engagement.
2.1 Ozone Talent Booking Agency — Artist Registration & Talent Booking
Ozone Talent Booking Agency, a subsidiary of Ozone Gold Publishing & Distribution, maintains a roster of independent artists and bands and fields booking requests from promoters, venues, and event producers. Artists and bands may register for the roster at no cost; promoters may submit booking requests at no cost. Ozone Talent Booking Agency's compensation is built into the talent package price charged to the promoter and is disclosed prior to any booking agreement being signed. We are never paid a fee by the artists or bands we book.
2.2 Ozone Gold Publishing LLC — Brand Placement Services
Ozone Gold Publishing LLC facilitates introductions between brands seeking on-screen, in-production, or physical-media placement (including DVD, Blu-ray, CD, and vinyl packaging, collector's editions, and promotional merchandise) and film, television, streaming, and music projects seeking sponsors or product integration. Registration is free. We are compensated by brokering and coordinating placement opportunities between production companies and participating brands.
2.3 Ozone Gold Media — Film Packaging & Production Advisory Services
Ozone Gold Media provides paid, tiered film packaging and production-advisory services to producers, production companies, authors, and filmmakers, ranging from story evaluation to full executive-producer-level packaging (each, a "Package"). Package scope, deliverables, and fees are as described on the Site at the time of purchase and in the applicable engagement agreement, which controls if it conflicts with the Site's marketing description.
2.4 Publishing & Distribution Services
Global physical and digital music or book distribution services are available exclusively to artists and titles formally signed to Ozone Gold Publishing & Distribution. Roster inclusion with Ozone Talent Booking Agency does not, by itself, include or imply publishing or distribution services; those are arranged under a separate signed agreement.
Ozone Gold Media acts as a sub-distributor of content on behalf of signed artists and labels, relying on upstream distribution partners (including Alliance Entertainment and Amplified Distribution) to place content on digital platforms and in physical retail channels. Ozone Gold Media is not the originator, creator, or licensor of such content, and does not guarantee platform availability, placement timing, royalty rates, or payment schedules set by upstream distributors or digital service providers. All representations regarding content ownership, clearance, and third-party rights remain solely with the artist or label.
Distribution and publishing services are provided subject to the terms, content policies, and technical requirements of Ozone Gold Media's upstream licensors, distributors, and platform partners ("Upstream Terms"). To the extent Upstream Terms impose restrictions on content, royalty timing, takedown obligations, or metadata standards, those restrictions are incorporated into and flow through your engagement with Ozone Gold Media. Ozone Gold Media is not liable for any removal, delay, or non-payment attributable to a violation of Upstream Terms by you or by content you submitted.
3. No Guarantee of Results
Ozone Gold Media provides advisory, packaging, matchmaking, and coordination services. Except where we expressly agree otherwise in a signed, individually negotiated agreement, we do not guarantee any outcome. In particular:
3.1 Talent Booking
Registering for the artist/band roster does not guarantee any number, frequency, or value of bookings.
Submitting a promoter intake request does not guarantee that a suitable artist will be available, that an artist will accept an offer, or that an event will be successfully booked.
Talent recommendations are based on availability and information provided to us and are not a warranty of an artist's performance, conduct, condition, or audience draw.
3.2 Brand Placement
Brand placement registration does not guarantee that any placement, sponsorship, or introduction opportunity will be identified, offered, or completed.
We do not guarantee the audience size, release date, distribution, or commercial performance of any production in which a brand may ultimately be placed.
3.3 Film Packaging & Production Advisory Services — No Guarantee of Financing, Distribution, or Investment Return
FILM PACKAGING IS A PROFESSIONAL SERVICES ENGAGEMENT, NOT AN INVESTMENT AND NOT A PROMISE OF FUNDING, DISTRIBUTION, FESTIVAL ACCEPTANCE, OR PROFITABILITY. Independent film financing carries substantial, well-documented risk of loss, and the packaging materials, business plans, budgets, pitch decks, and strategic guidance we provide are tools intended to improve a project's readiness for the market — they do not create, imply, or guarantee any of the following: (a) that the project will secure financing, in whole or in part; (b) that any investor, studio, sales agent, or distributor will accept, fund, or distribute the project; (c) that the project will be produced, completed, or released; (d) that the project will earn back its production costs or return any profit to producers or investors; or (e) any particular festival selection, critical reception, or box-office, streaming, or sales performance.
Fees paid for any Package (Story Evaluation, Development Package, Professional Packaging, Executive Producer Services, or any custom scope) are compensation for the professional services actually performed and delivered, and are earned upon delivery of the applicable materials regardless of whether the project is ultimately financed, produced, distributed, or profitable. Package fees are non-contingent on results unless a separate signed agreement expressly states otherwise.
Tax incentive guidance is strategic and preparatory only. Final eligibility, approval, and award of any state or federal film/television production incentive is determined solely by the applicable government agency, and we make no representation as to eligibility or award outcome.
4. Financial & Insurance Services — Separate From HeritageBridge Financial Solutions
Ozone Gold Media, Ozone Gold Publishing LLC, and Ozone Talent Booking Agency are not licensed to provide, and do not provide, financial advice, investment advice, insurance products, tax advice, or legal advice. Any reference on this Site or in our marketing materials to "wealth-building," "royalty reinvestment planning," "customized wealth strategies," "key-person insurance," or similar financial or insurance concepts refers to services that are offered exclusively through our affiliated, separately owned and operated sister company, HeritageBridge Financial Solutions ("HeritageBridge"), and not through Ozone Gold Media or any of its subsidiaries.
4.1 Separate Company, Separate Agreement
HeritageBridge Financial Solutions is a distinct legal entity from Ozone Gold Media, Ozone Gold Publishing LLC, and Ozone Talent Booking Agency, with its own licensing, underwriting, and compliance obligations as an insurance and/or financial services provider.
Any insurance product (including key-person insurance for a production), investment strategy, tax structuring recommendation, or other financial product is provided solely by HeritageBridge under HeritageBridge's own terms, disclosures, licensing credentials, and, where applicable, a separate signed client agreement directly between you and HeritageBridge.
Purchase of any Ozone Gold Media service (talent booking, brand placement, or film packaging) is never conditioned upon, and does not require, purchasing any product or service from HeritageBridge, and vice versa.
4.2 Referral Relationship & Compensation Disclosure
Where we refer or introduce you to HeritageBridge, we may receive a referral fee, commission, or other compensation from HeritageBridge in connection with products or services you ultimately purchase. This relationship does not make HeritageBridge's advice or products "our" advice or products, and does not create any fiduciary, advisory, or agency relationship between you and Ozone Gold Media with respect to financial or insurance matters.
4.3 No Guarantee of Financial Outcomes
Neither Ozone Gold Media nor HeritageBridge guarantees any specific financial result, rate of return, insurance payout, tax outcome, or wealth-building result. You are solely responsible for reviewing all HeritageBridge disclosures, licensing credentials, and product terms, and for consulting your own independent financial, tax, and legal advisors before entering into any financial or insurance product.
5. Fees, Deposits, Payment Processing, Cancellations & No-Shows
5.1 Booking Fees & Deposits
Artist/band roster registration is free. Promoter intake and talent recommendations are free. Our compensation for a completed booking is disclosed as part of the talent package price before any agreement is signed.
Once a performance agreement is signed and a deposit is collected, the booking is treated as final. Deposits are remitted to the artist or band's designated payee within five (5) to ten (10) business days of collection, less any amounts owed to us as disclosed in the booking agreement.
Final payout following a completed performance is issued via Zelle, Cash App, or in person on-site, to the party designated on the applicable registration or booking agreement. Depending on the tax status of the payee, a Form 1099 may be issued and payee tax information may be required before payout.
We accept payment from promoters and clients by the methods identified at checkout or in the applicable engagement agreement. Payment processing may be handled by a third-party processor whose terms apply to that transaction. We may modify accepted payment methods at any time on reasonable notice. Payout methods to artists (Zelle, Cash App, or in-person) are subject to the availability and terms of those third-party platforms, which we do not control.
5.2 Cancellations & No-Shows
Cancellation by an artist or band after a deposit has been received may result in a penalty of up to the full value of the booking, including any agency fees, and may result in removal from the roster.
Failure to appear for a confirmed, deposited booking is treated the same as a cancellation: a penalty of up to the full booking value, including agency fees, and possible roster removal.
Promoter cancellations are governed by the cancellation terms of the individual, signed booking agreement for that event, which controls over this general summary.
5.3 Film Packaging Fees
Package fees (Story Evaluation, Development Package, Professional Packaging, Executive Producer Services) are due as specified in the applicable engagement agreement and, once services commence, are earned as work is performed and delivered. Refund eligibility, if any, is governed solely by the signed engagement agreement for that Package, not by general marketing descriptions of the Package on the Site.
5.4 General Payment Finality
Except as expressly required by applicable law that cannot be waived by agreement, all fees and payments made to Ozone Gold Media are final and non-refundable once earned. For customers who are natural persons purchasing services primarily for personal, domestic, or household purposes ("Consumer Customers"), any statutory right to a refund or cancellation period under applicable consumer protection law is not waived by this Section and is preserved to the minimum extent required by law. For all other customers, no refunds will be issued unless expressly provided in a separately signed engagement agreement.
5.5 Chargebacks and Payment Disputes
If you initiate a chargeback, payment reversal, or dispute with your payment processor or financial institution with respect to any fee or payment made to Ozone Gold Media, and we reasonably determine that the chargeback or dispute is not supported by the facts (for example, the services were provided or the charge was authorized), you agree that: (a) you will promptly cooperate with our response to the chargeback; (b) we may immediately suspend your access to the Services and roster until the dispute is resolved; (c) you will reimburse us for any chargeback fees, administrative costs, and reasonable attorneys' fees incurred in connection with the dispute; and (d) disputed amounts ultimately resolved in our favor remain due and payable. Nothing in this Section limits any statutory right a Consumer Customer may have to dispute an unauthorized charge.
5.6 Consumer Protection Carve-Out
For Consumer Customers under applicable law — including the Florida Deceptive and Unfair Trade Practices Act, Fla. Stat. § 501.201 et seq., or any other applicable consumer protection statute — nothing in these Terms waives or limits any non-waivable right to a refund, cancellation, or remedy provided by such statute. To the extent any provision of these Terms conflicts with a non-waivable consumer right, that provision is modified to the minimum extent necessary to comply, and the remainder of these Terms continues in full force.
6. Newsletter, Marketing Communications & Your Opt-Out Rights
6.1 Automatic Enrollment for Clients
When you register as an artist or band, submit a promoter, brand placement, or film project intake form, purchase a Package, or otherwise engage our Services, you will be automatically added to the Ozone Gold Media newsletter and related marketing communications, in addition to any newsletter sign-up you complete directly on the Site (including through our Beehiiv-powered subscription form). By submitting any such form or engaging our Services, you consent to receive these communications, subject to your right to opt out described below.
6.2 What the Newsletter May Include
The newsletter and related marketing emails may include company updates, brand and film placement opportunities, promotional content and sponsored placements from approved partners, industry insights, and service offerings across Ozone Gold Media, Ozone Gold Publishing LLC, and Ozone Talent Booking Agency. Access to certain private or curated editions of the newsletter is limited to vetted subscribers at our discretion.
6.3 How to Opt Out
Every marketing email we send includes a functioning "unsubscribe" link at the bottom of the message. Clicking it will remove you from that mailing list.
You may also opt out at any time by emailing info@ozonegoldmedia.com with "UNSUBSCRIBE" in the subject line, or by calling 813-686-5484.
We will process opt-out requests within ten (10) business days, consistent with the CAN-SPAM Act. You may continue to receive messages already in process during that window.
On any registration or intake form that includes a specific newsletter consent checkbox (for example, the Brand Placement registration form), you may decline that checkbox at the time of submission while still completing your registration.
6.4 Marketing vs. Transactional Communications
Opting out of the newsletter and general marketing communications does not opt you out of transactional or service-related communications that are necessary to administer an active booking, registration, Package engagement, or account — for example, booking confirmations, deposit and payout notices, contract documents, and event-logistics messages. These operational messages will continue for the duration of an active engagement even if you have unsubscribed from marketing content.
7. Registration Accuracy; Roster, Portfolio & Media Use; Intellectual Property
You are responsible for the accuracy and completeness of any information, media, EPK, technical rider, financial figures, or other materials you submit, and for promptly updating us if that information changes (including availability, fee, and travel range).
By registering for the artist/band roster or the brand-placement roster, you grant Ozone Gold Media a non-exclusive, royalty-free license to display your name, likeness, brand name, logo, biography, photos, audio/video samples, and related promotional materials to prospective promoters, brands, or production partners for the purpose of securing bookings or placements on your behalf. This license ends if you withdraw from the roster, subject to the removal of materials already in active circulation with a promoter or partner at the time of withdrawal.
All Site content, roster compilations, trademarks, and the Ozone Gold Media, Ozone Gold Publishing, and Ozone Talent Booking Agency names and logos remain our property or that of our licensors.
Physical product (CDs, vinyl, merch) and QR-code fulfillment described for signed artists is at the cost and responsibility of the artist or label, not Ozone Talent; shipping deadlines described on the Site apply.
8. Third-Party Business Partners & Affiliates
8.1 Named Partners
We maintain business relationships with third parties, including Amplified Distribution, Alliance Entertainment, AMPED, Entertainment One, Chartmetric, RLT Music & Filmworks, and HeritageBridge Financial Solutions, among others, to expand the reach and capability of our Services. These are independent companies. We do not control, and are not responsible for, their acts, omissions, pricing, availability, or the outcome of any engagement you enter into with them directly. Reference to a partner, affiliate, artist name, or past client on the Site is provided for informational purposes and is not an endorsement, guarantee of availability, or promise that any specific artist, act, or partner will be involved in your booking or project.
HeritageBridge Financial Solutions is our affiliated sister company for financial and insurance products; Section 4 governs that relationship specifically and controls over this Section 8 to the extent of any conflict. Third-party partner relationships are subject to change at any time without notice, and we make no representation regarding any partner's financial condition, data security posture, licensing status, or compliance with applicable law.
8.2 Right to Engage Delegates
Ozone Gold Media reserves the right to engage partners, affiliates, subcontractors, agents, resellers, and sub-distributors (collectively, "Delegates") — including but not limited to the named partners above — to perform any or all of its obligations under these Terms, such as distributing signed titles, processing payments, or hosting the newsletter. We will use commercially reasonable efforts to select Delegates with appropriate expertise. Your recourse for a Delegate's failure to perform is limited to your recourse against Ozone Gold Media as if we had performed the relevant obligation ourselves, subject to the limitations in Section 10.
8.3 No Liability for Delegate Acts
To the maximum extent permitted by law, we are not liable for any act, omission, delay, error, or failure of any Delegate engaged by us to perform Services on our behalf, including without limitation any distribution partner, booking platform, or technology provider. The aggregate liability limitation in Section 10 applies to any claim arising from or related to a Delegate's performance.
9. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY BOOKING, PLACEMENT, FINANCING, DISTRIBUTION, OR FINANCIAL OUTCOME WILL BE ACHIEVED.
10. Limitation of Liability
As used in this Section 10 and in Section 11 (Indemnification), "Ozone Parties" means Ozone Gold Media, Ozone Gold Publishing LLC, and Ozone Talent Booking Agency, together with each of their respective direct and indirect parent companies, subsidiaries, affiliates, Delegates (as defined in Section 8.2), distribution partners, licensors, officers, directors, employees, agents, and contractors.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OZONE PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICES, INCLUDING ANY BOOKING, BRAND PLACEMENT, FILM PACKAGE, DELEGATE PERFORMANCE, OR REFERRAL TO HERITAGEBRIDGE FINANCIAL SOLUTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, the Ozone Parties' total aggregate liability for any claim arising from or related to the Services will not exceed the total fees actually paid by you to Ozone Gold Media (excluding amounts paid to third parties, including HeritageBridge Financial Solutions, Delegates, artists, or promoters) in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Ozone Parties from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) inaccurate information you submitted; (c) your failure to appear for, or your cancellation of, a confirmed booking; (d) content or materials you provide for promotional or placement use; or (e) your use of any product or service obtained through HeritageBridge Financial Solutions, a Delegate, or any other third-party partner.
12. Privacy
This Section describes our data practices directly, so your consent is meaningful even in advance of a standalone Privacy Policy being posted to the Site. Once posted, that Privacy Policy will provide additional detail and will supplement, not replace, this Section.
12.1 Data We Collect
We collect information you provide directly — such as your name, email address, phone number, artist or brand name, financial and payout information, technical riders, and promotional materials (photos, audio/video, EPKs) — and information collected automatically when you use the Site, such as IP address, device identifiers, browser type, and usage data.
12.2 How We Use Your Data
Provide, operate, and improve the Services, including matching your registration against booking, placement, or packaging opportunities;
Communicate with you about bookings, placements, projects, and engagements;
Send marketing and newsletter communications, subject to your opt-out rights under Section 6;
Comply with legal, tax, and regulatory obligations; and
Protect the security of the Services and detect and prevent fraud.
12.3 Sharing Your Information
We may share your personal information with: (a) our affiliated entities (Ozone Gold Publishing LLC, Ozone Talent Booking Agency) for service delivery; (b) third-party service providers, Delegates, and distribution partners — such as Alliance Entertainment, Amplified Distribution, AMPED, Entertainment One, Chartmetric, RLT Music & Filmworks, and our newsletter platform, Beehiiv — who assist us in operating the Services, subject to appropriate confidentiality obligations; (c) prospective promoters, brands, and production partners to the extent necessary to secure bookings or placements on your behalf, consistent with the license in Section 7; (d) HeritageBridge Financial Solutions, where you have been referred under Section 4; and (e) as required by law, regulation, or court order. We do not sell your personal information to third parties.
12.4 Cookies and Tracking Technologies
The Site uses cookies and similar tracking technologies (including pixels, web beacons, and analytics scripts) to recognize your browser, analyze usage patterns, and deliver targeted communications. You may adjust your browser settings to refuse cookies, but certain Site features may not function correctly if you do so. Further detail on specific cookies and how to opt out of targeted advertising will be set out in our Cookie Policy / Privacy Policy once posted to the Site.
12.5 Data Security and Retention
We implement commercially reasonable technical and organizational measures to protect your personal information against unauthorized access, disclosure, alteration, and destruction. No data transmission over the internet is completely secure, and we cannot guarantee absolute security. We retain your personal information for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements, after which we delete or anonymize it in accordance with our internal retention practices.
If you have questions about what information we hold, wish to request its deletion, or want to see the published Privacy Policy, contact us using the information in Section 16.
13. Term, Termination & Changes to These Terms
We may suspend or terminate your access to the roster, portal, or Services, and may decline or discontinue any registration or engagement, at our discretion, including for inaccurate information, abusive conduct, non-payment, or a pattern of cancellations or no-shows.
We may update these Terms from time to time. The "Last Reviewed" date at the top of this document will be updated accordingly. Continued use of the Site or Services after an update constitutes acceptance of the revised Terms. Material changes affecting an active, signed engagement will not override the terms of that signed agreement.
14. Governing Law & Dispute Resolution
14.1 Governing Law
These Terms, and any dispute arising out of or relating to these Terms, the Site, or the Services, are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
14.2 Good-Faith Negotiation & Mediation
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith direct negotiation between the parties. If the dispute is not resolved within thirty (30) days, the parties agree to submit the dispute to non-binding mediation before pursuing litigation. Ozone Gold Media shall select the mediator or mediation service, provided the mediator is neutral and the mediation is conducted in Hillsborough County, Florida (or remotely, at Ozone Gold Media's election). Each party shall bear its own costs of mediation unless the mediator directs otherwise; the parties shall share the mediator's fees equally.
14.3 Litigation & Venue
If a dispute remains unresolved sixty (60) days after mediation is initiated, or if Ozone Gold Media determines mediation is impractical for a particular dispute (including claims for non-payment or roster/content misuse), either party may proceed to litigation. Any such litigation shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and each party consents to the personal jurisdiction and venue of those courts and waives any objection to venue on grounds of inconvenient forum.
15. Miscellaneous
Entire Agreement: These Terms, together with any signed booking agreement, engagement letter, or Package agreement, constitute the entire agreement between you and Ozone Gold Media regarding the Services, and supersede prior discussions or marketing materials to the extent of any conflict.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Independent Contractors: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Ozone Gold Media, or between Ozone Gold Media and HeritageBridge Financial Solutions.
